Terms & conditions
These terms apply to all our quotes, agreements and the provision of security services by JR Security B.V.

Important (TODO for the client): this is a structural framework, not a final legal text. Have the terms and conditions drawn up or reviewed by a lawyer and, if applicable, file them with the Chamber of Commerce. Consider adopting the model terms of the Nederlandse Veiligheidsbranche. In case of any discrepancy, the Dutch version prevails.
Article 1 — Definitions
In these terms: "Contractor": JR Security B.V.; "Client": the party with whom the Contractor concludes an agreement; "Services": the security services provided by the Contractor. [TODO: complete definitions]
Article 2 — Applicability
These terms apply to all offers, quotes and agreements. Deviations apply only if agreed in writing. The Client's own terms and conditions are expressly rejected.
Article 3 — Quotes and formation
Quotes are without obligation and valid for the period stated therein. An agreement is formed upon written acceptance or upon the start of performance. [TODO: validity period, reservations]
Article 4 — Performance of the Services
The Contractor performs the Services to the best of its insight and ability, in accordance with the WPBR and its requirements. Deployed officers are qualified and licensed. [TODO: staffing, instructions, replacement]
Article 5 — Client's obligations
The Client provides, in good time, all information and facilities needed for proper performance and ensures a safe working environment. [TODO: specify the duty to cooperate]
Article 6 — Prices and payment
Prices are exclusive of VAT, unless stated otherwise. Payment is made within the agreed term. In the event of late payment, the Client is in default by operation of law. [TODO: payment term, interest, collection costs]
Article 7 — Duration and termination

Article 8 — Liability
The Contractor's liability is limited to the amount paid out by its insurer in the relevant case. [TODO: have liability limitations legally reviewed]
Article 9 — Force majeure
In the event of force majeure, the obligations are suspended. If the force majeure continues, the parties may dissolve the agreement without any obligation to pay compensation.
Article 10 — Complaints
You can submit complaints about the performance via our complaints procedure. We confirm your complaint within 1 business day and respond within 5 business days.
Article 11 — Governing law and disputes
Dutch law applies to all agreements. Disputes are submitted to the competent court in [district, e.g. Amsterdam].
